These Terms of Service (“Terms”) govern your access to and use of the VillageVest platform, including any websites, applications, dashboards, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
By submitting information through the Services, including joining the VillageVest waitlist, you acknowledge and agree that your submission constitutes acceptance of these Terms.1. Company Overview
VillageVest Inc. (“VillageVest,” “we,” “us,” or “our”) is a Delaware corporation with its principal place of business currently in Chicago, Illinois.
VillageVest provides software tools that enable individuals to coordinate recurring voluntary financial support from friends and family for the benefit of children. VillageVest is a coordination and transparency platform only.
VillageVest is not a bank, depository institution, trust company, money services business, broker dealer, investment adviser, or other regulated financial institution. VillageVest does not provide banking services, custody services, money transmission, investment management, or trust services.2. Eligibility and Geographic Scope
You must be at least eighteen (18) years old and legally capable of entering into binding contracts to use the Services, subject to applicable state law exceptions.
The Services are available only to individuals with a United States bank account. Businesses and legal entities are not permitted to act as contributors at this time.
The Services are offered only to users located in the United States.3. User Roles
3.1 Pot Creators
A “Pot Creator” is any eligible adult who creates a pot through the Services for the benefit of one or more children under the age of eighteen (18).
A Pot Creator is not required to be a legal parent or guardian but must have lawful authority to receive funds into their own U.S. bank account.
Each Pot Creator is solely responsible for:
● Their connected payment account
● Their bank account
● The receipt, use, and disposition of contributions
● Compliance with all applicable tax, legal, and regulatory obligationsVillageVest does not monitor, control, or direct how Pot Creators use contributed funds.
3.2 Contributors
A “Contributor” is an individual who elects to provide recurring voluntary financial support to a Pot Creator through the Services.
Contributors:
● Must be individuals, not businesses
● Must have a U.S. bank account
● Receive no goods, services, ownership interests, or benefits in exchange for contributions4. Nature of Contributions
Contributions made through the Services are voluntary financial support provided for the benefit of a child.
Contributions:
● Are made without expectation of goods, services, repayment, ownership, profit, or return
● Are revocable prospectively by the Contributor, subject to payment processor billing rules
● Are not assumed to be charitable donations
● Are not assumed to be tax deductible
● Are not investments
● Are not payments for services
● Are not peer to peer transfers facilitated by VillageVest
The foregoing descriptions are explanatory only and do not determine tax treatment.VillageVest does not characterize contributions as gifts or income, does not determine tax consequences, and does not provide tax advice.
Contributors and Pot Creators are solely responsible for determining and complying with their own tax reporting obligations.
VillageVest does not prepare, file, or issue tax forms on behalf of users.5. Payments and Processing
All payments are processed through third party payment processors, including Stripe.
VillageVest uses Stripe Connect Standard accounts. Each Pot Creator owns and controls their own Stripe account and is the merchant of record for all contributions made to their pot. VillageVest is not the merchant of record for contributions.
VillageVest:
● Does not hold, pool, route, or transmit funds
● Does not control contributor funds
● Does not maintain customer balances
● Receives only platform fees collected automatically by payment processors as application feesAll payment disputes related to contributions must be handled directly by the Pot Creator through Stripe or the applicable payment processor.
Stripe’s terms and policies, and those of any other payment processor used, apply and are incorporated by reference.6. Platform Fees
VillageVest charges a fixed platform access fee per pot, determined by contribution tier.
Platform fees:
● Are fixed dollar outcomes
● Are charged monthly
● Are disclosed prior to checkout
● Are non refundable once chargedExample:

Any refunds related to contributions are controlled solely by the Pot Creator through the payment processor.7. Reliance on Third Party Services
The Services rely on third party providers, including payment processors, identity verification providers, financial institutions, data services, and infrastructure vendors.
VillageVest does not control and is not responsible for:
● Third party decisions, actions, or failures
● Account restrictions, freezes, or suspensions imposed by processors or banks
● Identity verification, fraud screening, sanctions screening, or compliance determinations made by third partiesUsers acknowledge that access to the Services may be restricted or terminated due to third party requirements.8. No Financial, Investment, or Tax Advice
VillageVest does not:
● Provide financial advice
● Provide investment advice
● Recommend specific financial products or accounts
● Recommend asset allocation, strategies, or outcomes
● Act as a fiduciary or advisor of any kindEducational references to common savings or investment vehicles are provided for general informational purposes only and do not constitute endorsement, advice, or recommendations.9. Children and Data
Children do not create accounts and do not interact with payments.
VillageVest collects limited child information:
● Child age (not specific birth date, but age in years)
● Whether the child has had a birthday in the current calendar yearThis information is used solely to calculate the pot closure date (December 31st of the year the child turns 21) and to display age-based milestones to contributors. VillageVest does not collect:
● Names (names may be displayed in the Pot Creator's browser but are never transmitted to VillageVest servers)
● Social Security numbers
● Addresses
● Financial account information of childrenChild Display Names:
● Pot Creators may optionally provide a child's first name or nickname for display purposes.
● These names:
●Are stored only in the Pot Creator's browser (via localStorage) or as metadata in the Pot Creator's Stripe account
●Are never transmitted to or stored on VillageVest servers
●Are used only to personalize invitations and landing pages shown to invited contributors
●Can be omitted if the Pot Creator prefers privacyPot Creators must provide affirmative consent and represent that they have lawful authority to provide child information.10. Privacy, Data Use, and Recordkeeping
Use of the Services is subject to the VillageVest Privacy Policy, which is incorporated by reference.
VillageVest Inc. is the sole operator and data controller of the Services. Any affiliated holding company receives only aggregated or high level financial and operational reporting and does not access user level personal data.
VillageVest may collect, store, analyze, retain, and use platform data for:
● Operating and improving the Services
● Security and fraud prevention
● Legal and regulatory compliance
● Internal reporting
● Aggregated and anonymized analyticsVillageVest may retain records beyond account termination as required or permitted by law, regulation, audits, investigations, or legitimate business needs.
VillageVest may cooperate with lawful requests from courts, regulators, law enforcement, or government agencies.11. User Content
Pot Creators may submit descriptive content related to pots.
VillageVest does not review, endorse, verify, or assume responsibility for user generated content. Users are solely responsible for content they submit and agree not to post unlawful, misleading, or inappropriate content.12. Account Suspension and Termination
VillageVest may suspend, restrict, or terminate access to the Services at any time, without liability, if VillageVest determines such action is necessary for:
● Compliance or regulatory reasons
● Risk management
● Fraud prevention
● Payment processor or bank requirements
● Legal obligations
● Misuse of the ServicesVillageVest may freeze access, restrict functionality, or preserve data where required by law or third party processors and may retain records for compliance purposes.13. Disclaimers
The Services are provided on an “as is” and “as available” basis.
VillageVest disclaims all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non infringement.14. Limitation of Liability
To the maximum extent permitted by law, VillageVest’s total liability to any user shall not exceed the greater of:
● The fees paid by the user to VillageVest in the twelve (12) months preceding the claim, or
● Two hundred fifty dollars ($250)This limitation does not apply where prohibited by law, including for fraud, willful misconduct, or gross negligence.15. Indemnification
Users agree to indemnify, defend, and hold harmless VillageVest from and against all claims, damages, losses, liabilities, penalties, costs, and reasonable attorneys’ fees arising from or related to:
● Misuse of the Services
● Mischaracterization of payments
● Tax reporting failures
● Disputes between Contributors and Pot Creators
● Regulatory exposure caused by user actions or false representationsThis obligation includes a duty to defend and to cover reasonable costs of enforcement.16. Arbitration and Class Action Waiver
All disputes arising out of or relating to the Services or these Terms shall be resolved by binding arbitration administered by the American Arbitration Association.
Arbitration shall take place on an individual basis in Delaware, unless otherwise required by applicable law.
Users waive any right to participate in class actions or representative proceedings.17. Service Evolution and Partnerships
VillageVest may modify, expand, or evolve the Services over time.
Certain new features or regulated products may be offered under separate or supplemental terms.
VillageVest may introduce partnerships with banks, financial institutions, government agencies, or regulated entities in the future without requiring re consent to these Terms, subject to applicable law.
Portions of the Services may be in development, beta, or limited availability. Access to future features is not guaranteed and may be subject to additional eligibility or terms.18. Communications and Notices
VillageVest may provide notices through:
● Email to the address on file
● Supplemental in app noticesEmail is the primary legal notice channel. Transactional communications are mandatory. Marketing communications are opt in and may be unsubscribed from at any time.19. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.20. Contact Information

(“VillageVest,” “we,” “us,” or “our”) collects, uses, shares, and protects personal information when you access or use the VillageVest platform, including our websites, applications, dashboards, and related services (collectively, the “Services”).This Privacy Policy is incorporated by reference into the VillageVest Terms of Service.1. Scope and Role
VillageVest Inc. is the sole data controller for personal information collected through the Services.
VillageVest provides a coordination and transparency platform only. We do not operate as a bank, financial institution, or payment processor.
The Services are offered only to individuals located in the United States. We do not knowingly offer the Services to non-US users at this time.2. Information We Collect
2.1 Account Information
We collect the following information when you create or manage an account:
● Full name
● Email address
● Encrypted or hashed password credentials (never plaintext passwords)
● User role designation (for example Pot Creator or Contributor) 2.2 Payment Information
VillageVest does not collect or store:
● Bank account numbers
● Debit or credit card numbers
● Social Security numbers
● Other government-issued identifiers All payments are processed by third-party payment processors, including Stripe.
Stripe and other payment processors operate as independent controllers or processors under their own terms and privacy policies. They are not VillageVest agents. VillageVest receives only limited payment-related metadata from processors, such as:
● Processor-assigned customer IDs
● Subscription or transaction IDs
● Payment status and timestamps VillageVest does not collect or process CPRA-defined “sensitive personal information.” 2.2.1 Stripe Connect
VillageVest uses Stripe Connect to enable Pot Creators to receive contributions through their own Stripe accounts.
Account Owner Onboarding: When you create a pot, you will be directed to Stripe's platform to create or connect a Stripe Standard account. Stripe collects the following information directly from you:
● Full legal name
● Date of birth
● Social Security Number or Tax ID
● Phone number
● Address
● Bank account information VillageVest does not collect, access, or store this information. Stripe is an independent data controller for this information and processes it under Stripe's own Privacy Policy. VillageVest Permissions: By connecting your Stripe account, you authorize VillageVest to:
● Create subscription products on your account
● Create subscriptions for Contributors
● Monitor account status and subscription events
● Receive application fees for platform services VillageVest does not have access to:
● Your bank account credentials
● Your Social Security Number
● Payout settings or balances
● Contributor payment methods For more information about how Stripe processes your data, see Stripe's Privacy Policy at https://stripe.com/privacy. 2.3 Financial Event Records
In connection with operating the Services, VillageVest may receive and store limited records reflecting financial events related to use of the platform, such as:
● Contribution status
● Subscription state changes
● Timestamps
● Processor-generated transaction identifiers These records do not include bank account numbers, payment card numbers, or other financial credentials. Financial event records are used solely for:
● Service operation and account visibility
● Customer support
● Fraud prevention
● Auditing
● Legal or regulatory compliance VillageVest does not use financial event records to provide advice, profile users, make eligibility determinations, or recommend financial products. 2.4 Child Information
VillageVest intentionally minimizes the collection of information related to children.
Information We Collect:
● Child age (not specific birth date, but age in years)
● Whether the child has had a birthday in the current calendar year Purpose:

● Child addresses, emails, or contact information Parental Authority and Consent:
Children do not create accounts or directly interact with the Services. Pot Creators must certify that they have lawful authority to provide child age information and coordinate support for the child. Child Display Names: Pot Creators may optionally provide a child's first name or nickname for display purposes. These names:
● Are stored only in the Pot Creator's browser (via localStorage) or as metadata in the Pot Creator's Stripe account
● Are never transmitted to or stored on VillageVest servers
● Are used only to personalize invitations and landing pages shown to invited contributors
Can be omitted if the Pot Creator prefers privacy 2.5 Communications
We collect and retain communications you send to us, including:
●Support emails
●In-app support messagesThese communications are used for customer support, quality assurance, compliance, and dispute resolution. 2.6 Usage, Device, and Technical Data
We collect usage and technical data for security, fraud prevention, and service improvement, including:
Account Activity:
● Login timestamps and frequency
● Pages or screens viewed
● Features used (e.g., creating a pot, inviting contributors, viewing dashboards)
● Button clicks and navigation patterns
Device and Network Information:
● Device type and operating system
● Browser type and version
● IP address and general location (city/state level, not precise geolocation)
● Referring website or source
Security Data:
● Failed login attempts
● Suspicious activity patternsThis data is collected in aggregated or anonymized form where possible and is not used to profile individual users or make automated decisions.3. How We Use Information
We use personal information only for the following purposes:
● Account creation and authentication
● Operating and maintaining the Services
● Providing payment coordination visibility
● Customer support and communications
● Fraud prevention and security
● Legal, regulatory, and compliance obligations
● Internal analytics and service improvement
● VillageVest does not use personal data for targeted advertising.4. Analytics and Measurement
VillageVest may use privacy-respectful analytics tools, such as PostHog or similar services, to understand how the Services are used and to improve functionality. Analytics tools are configured to minimize the collection of personal data and are not used for advertising or cross-site tracking. VillageVest does not use AI models or automated decision-making that produce legal or similarly significant effects on users.5. How We Share Information
We do not sell personal information. We share personal information only with the following categories of recipients: 5.1 Service Providers and Infrastructure Partners

● Payment processors such as Stripe
● Hosting, cloud, email delivery, logging, and security providers These providers operate under their own terms and privacy obligations. 5.2 Legal and Regulatory Disclosures
We may disclose information if required by law, regulation, subpoena, court order, or lawful request from regulators, law enforcement, or government agencies. 5.3 Business Operations
In the event of a corporate transaction such as a merger, acquisition, or restructuring, information may be transferred as part of that transaction, subject to applicable law.6. Data Retention
We retain personal information:
● For as long as an account remains active
● After account termination as required or permitted for:

● Dispute resolution We may retain aggregated or anonymized data indefinitely. Aggregated or anonymized data refers to information processed such that it can no longer reasonably be used to identify an individual, household, or device, and is not subject to re-identification attempts.7. VillageVest does not knowingly collect personal information directly from children under thirteen (13). Any child-related information is provided by an adult user who represents that they have lawful authority and provides affirmative consent. For information about child data collection, see Section 2.410. Data Security
VillageVest uses reasonable administrative, technical, and organizational safeguards designed to protect personal information. No system can guarantee absolute security. You use the Services at your own risk.11. Browser Signals and Do Not Track
The Services do not respond to browser “Do Not Track” or Global Privacy Control signals.12. Data Location and Processing
Personal information may be stored or processed in the United States or other jurisdictions by VillageVest or its service providers, subject to appropriate safeguards and applicable law.13. Communications Preferences
Transactional and service-related communications are mandatory and cannot be opted out of. Marketing communications are opt-in only and include unsubscribe mechanisms.14. Changes to This Privacy Policy
We may update this Privacy Policy from time to time. Material changes will be communicated via:

Continued use of the Services after an update constitutes acceptance of the revised policy
